By accessing or using GuardGraph's website, software, or services (collectively, "Services"), you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Description of Services

GuardGraph provides privacy-first security and AI software, including:

• LucidQR: QR code scanning and analysis software
• guardgraph.com: Our website with product information and resources
• Enterprise Services: On-premise and cloud-based deployments for organizations

3. Acceptable Use

You agree to use our Services only for lawful purposes. You will not:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our Services
• Use our Services to distribute malware or conduct phishing
• Reverse engineer, decompile, or disassemble our software (except as permitted by law)
• Remove or modify any proprietary notices or labels

5. Intellectual Property

All content, features, and functionality of our Services are owned by GuardGraph LLC and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

LucidQR Software License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use LucidQR for personal or internal business purposes. Enterprise licenses are governed by separate agreements.

6. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

GuardGraph does not warrant that:

• Our Services will be uninterrupted, secure, or error-free
• Results obtained from our Services will be accurate or reliable
• Any errors in our software will be corrected

Security Limitations: While LucidQR is designed to help identify risky QR codes, no security tool is perfect. We do not guarantee that LucidQR will detect all threats or prevent all attacks.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GUARDGRAPH LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use our Services
• Any unauthorized access to or use of our servers or data
• Any interruption or cessation of our Services
• Any bugs, viruses, or malware transmitted through our Services
• Any errors or omissions in content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED $100 USD OR THE AMOUNT YOU PAID TO US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless GuardGraph LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another party

Our Services may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of third-party sites. You access them at your own risk.

10. Termination

We may terminate or suspend your access to our Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in New Mexico, except that either party may seek injunctive relief in court for infringement of intellectual property rights.

You waive any right to a jury trial or to participate in a class action lawsuit.
